1. Agreement to Terms

By engaging the software engineering and design services of AkbarTech LLC ("Company", "we", "us", or "our"), a registered Missouri Limited Liability Company (LLC), you agree to be bound by these Terms of Service. If you do not agree, please do not initiate a project contract or utilize our deliverables. AkbarTech LLC is registered at 1200 Lake Saint Louis Blvd, Unit 580, Lake Saint Louis, MO 63367, United States, and operates an international office at No 27/F, Attidiya Road, Dehiwala, Sri Lanka. AkbarTech LLC is purely a technology engineering service provider and is not licensed or operating as a bank, financial institution, or money services business (MSB).

2. Scope of Services

We provide custom software development, SaaS platform design, web application engineering, and e-commerce integrations. Each project will have a detailed, signed Statement of Work (SOW) outlining the specific deliverables, milestones, and payment schedule. We do not guarantee outcomes for third-party tools or external API limits.

3. Payment Terms & Milestones

Payments are structured around milestones defined in the project agreement. We accept secure payments via credit card (processed through secure third-party billing), commercial wire/ACH bank transfers, or other corporate banking methods. All fees are in US Dollars unless specified otherwise.

Late payments exceeding ten (10) business days from milestone delivery may result in immediate suspension of work and hosting configurations.

4. Intellectual Property Rights

Unless specified otherwise in a Statement of Work, all intellectual property, source code, designs, and database structures developed for the client remain the property of AkbarTech LLC until all milestone invoices are paid in full. Upon receipt of final payment, AkbarTech LLC transfers all right, title, and interest in the custom deliverables to the client.

5. Governing Law

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to conflict of law principles.

6. Limitation of Liability

In no event shall AkbarTech LLC, its directors, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of our software services.

7. Digital Services Delivery Policy

All services, deliverables, and software products provided by AkbarTech LLC are digital in nature. Delivery of custom source code is fulfilled by providing access to secure code repositories (such as GitHub), deploying compiles to client-specified cloud hosting environments (such as Vercel, AWS, or managed nodes), or transferring digital design prototypes. Delivery timelines and milestone target dates are explicitly defined in each project's signed Statement of Work (SOW).
